Terms of Service

1. Scope and Contractual Partner

These General Terms and Conditions (hereinafter "T&Cs") govern the legal relationship between CodeQuarter, owner Tarkan Gökhan Gökdal, Eekholtesweg 6, 22111 Hamburg, Germany (hereinafter "Provider") and the user of the "nutrimio" coach platform (hereinafter "Coach").

B2B Restriction: nutrimio is exclusively a Business-to-Business (B2B) service. By registering, the Coach warrants that they are acting in their capacity as an entrepreneur, business owner, or freelancer. Use by private consumers is strictly prohibited.

2. Services and Platform Role

The Provider offers a web-based Software-as-a-Service (SaaS) solution that enables Coaches to create curated product recommendation lists ("Mini-Shops") for their clients.

No Third-Party Liability: The Provider is a technical infrastructure provider only. Contracts regarding products recommended within the Coach's shop are strictly between the end customer and the respective third-party vendor (e.g., Amazon, supplement retailers). The Provider is not a party to these transactions and assumes no liability for product quality or delivery.

3. Subscription, Payments, and Taxes

• Monthly Model: The service is billed on a recurring monthly basis. There are no long-term annual commitments.
• Payment Processing: All payments are handled via Mollie. The Coach must maintain valid payment information.
• VAT: The Provider is established in Germany. Invoices to Coaches established in Germany are issued including statutory German VAT. For Coaches established in another EU member state who provide a valid VAT identification number, the place of supply shifts to the Coach's member state; the tax liability transfers to the Coach under the Reverse Charge mechanism and the invoice is issued without VAT. For Coaches established outside the EU, no German VAT is charged. The Coach is responsible for reporting and paying any taxes due in their country of establishment.

4. Cancellation and Termination

• Cancel Anytime: The Coach may terminate their subscription at any time.
• Process: Termination must be performed via the app interface under Settings → Subscription → Cancel Subscription. At the end of the billing period already paid for, the account automatically moves to the free Starter plan.

5. Responsibility and Indemnification

The Coach is solely responsible for the legal compliance of their public shop, including but not limited to:

• Providing a legally required Imprint/Legal Notice for their jurisdiction.
• Correct disclosure of affiliate links and advertising (e.g., FTC guidelines, EU transparency laws).
• Accuracy of health claims or product descriptions.

Indemnification: The Coach agrees to indemnify and hold the Provider harmless from any third-party claims, damages, or legal costs arising from the content or operation of the Coach's shop.

6. Limitation of Liability

To the maximum extent permitted by law, the Provider shall only be liable for damages caused by willful misconduct or gross negligence.

The Provider is not liable for loss of affiliate commissions, loss of data, or indirect consequential damages. Availability of the platform is aimed at 98% on an annual average.

7. Governing Law and Jurisdiction

These T&Cs and all disputes arising out of or in connection with them shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the Coach is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes shall be Hamburg, Germany. Otherwise, the statutory places of jurisdiction apply.

Language Clause: In the event of any discrepancy between the German version and any translations provided (e.g., into English), the German version shall prevail.

Registration via Third-Party Services (Single Sign-On)

If you choose to register or log in to nutrimio using a third-party service provider (such as Google or LinkedIn), you acknowledge that your access is subject to the terms, conditions, and availability of those third-party services.

You are solely responsible for maintaining the security and confidentiality of your login credentials for these third-party accounts. nutrimio is not liable for any unauthorized access to your account, loss of data, unauthorized modifications to your shop, or other damages resulting from compromised third-party credentials or any breach of your Google or LinkedIn accounts.
